Data Room
A data room (or virtual data room, VDR) is a secure, controlled environment where a seller provides confidential business information to prospective buyers during due diligence. Modern data rooms are cloud-based platforms that allow the seller to control document access, track which documents buyers have reviewed, and revoke access after a deal closes or falls through.
The seller populates the data room with financial statements, tax returns, contracts, employee records, intellectual property documentation, and other materials requested in the buyer's due diligence checklist. A well-organized data room accelerates due diligence and demonstrates that the seller has a professional, well-documented business.
Virtual data rooms are standard practice for transactions above $2 million. Smaller deals may use shared file services or physical document review, though the access-control features of dedicated VDR platforms provide better confidentiality protection.
